Preheat ove to 350 degrees

Mix all crust ingredients together. Press into bottom of a 13" x 9" x 2" imch pan. Bake for 20, or until golden brown. Let cool

Cream cream cheese and sugar. Add in cool whip. Spread over cooled crust.

Mix together pudding and milk, let thicken. Spread over cream cheese layer.

Spread cool whip over top. Sprinkle with grated choclate.

Chill at least four hours or overnight.
